Nevada’s laws are far more flexible over
similar laws in other states and may be the best state in
the country to incorporate due to it’s liberal laws
that you are allowed to take advantage of!!!
No transfer, licenses, succession, stamp, income, or franchise
taxes
No taxes on the residents or non-residents shares of the corporation.
No Annual reports due or needed by the state. Your corporation
will remain in good standing by annually filing an updated
list of officers for $85, and having a current Resident agent.
Filing fees for articles or new amendments are very low (but
do vary on your number of shares) Directors and Stockholders
need not be residents of Nevada
Stockholders are not liable for corporate debt
Directors judgement is conclusive as to value of property
exchanged for stock in absence of fraud.
Different classes of stock may be issued with varying rights,
interest and series.
Bonds or other indebtedness may be issued.
Your corporation may carry on many different types of businesses.
Corporations may be formed quickly (in 24 hours) if needed
in Nevada.
The taxation can be elected by the stockholders to be taxed
on any profits as individuals (by becoming an S Corp) to avoid
double taxation. This can be changed later.
A Corporation is not liable for the debts of a stockholder.
Stockholders are not liable for the debts of the corporation
and are not made public!
A Corporation has perpetual existence and is not dissolved
by a stockholders death.
Assets owned by a Nevada Corporation are not subject to public
disclosure.
